Welcome to Henrio.ng. These Terms & Conditions govern your access to and use of the Henrio website and your purchase of products or services from Henrio.

By accessing Henrio.ng, creating an account, placing an order, requesting a service, or completing a purchase, you agree to these Terms & Conditions together with our Privacy Policy, Refund and Returns Policy, and Shipping & Delivery Policy.

Nothing in these Terms & Conditions is intended to exclude, restrict, or override any consumer right or remedy that cannot lawfully be excluded under the Federal Competition and Consumer Protection Act 2018 or other applicable Nigerian law.

1. About Henrio

Henrio is a supplier of printing consumables, printing materials, printing equipment, signage and display products, promotional products, and related goods and services.

Henrio also provides or facilitates selected printing, branding, customisation, and related services.

Our website is available at Henrio.ng.

References in these Terms to “Henrio”, “we”, “us”, or “our” refer to Henrio. References to “customer”, “you”, or “your” refer to any person purchasing, requesting, accessing, or using our products, services, or website.

2. Use of Henrio.ng

You may use Henrio.ng only for lawful purposes.

You agree not to:

use the website for fraudulent or unlawful activities;

attempt to gain unauthorised access to the website, server, customer accounts, or related systems;

deliberately introduce viruses, malware, harmful code, or other disruptive materials;

interfere with the proper operation or security of the website;

impersonate another person or provide deliberately false information;

use automated systems to misuse, overload, scrape, or disrupt the website without authorisation; or

use Henrio’s content, images, branding, or materials in a manner that infringes our rights or those of another person.

Henrio may restrict access to the website where reasonably necessary to protect the website, customers, systems, or business from misuse, fraud, security threats, or unlawful activity.

3. Product Information

Henrio makes reasonable efforts to provide accurate information about products displayed on Henrio.ng.

Product information may include:

product names;

descriptions;

specifications;

sizes;

models;

compatibility information;

colours;

images;

prices;

availability; and

other relevant details.

Customers should carefully review the product description and specifications before placing an order.

Where compatibility with a particular printer, machine, material, application, or production process is important, the customer should confirm compatibility before opening, installing, or using the product.

4. Product Images and Colours

Product images are provided to help customers identify and understand the products being offered.

We make reasonable efforts to ensure that images accurately represent the products sold. However, slight differences may occur because of photography, screen settings, lighting, packaging updates, manufacturing changes, or reasonable variations between production batches.

Where colour accuracy is commercially important, particularly for printing, branding, signage, or customised production, customers should not rely solely on how a colour appears on a phone, computer, or other screen.

Nothing in this section permits Henrio to supply a materially different product from the product ordered or otherwise limits applicable consumer rights.

5. Prices

Unless otherwise stated, prices displayed on Henrio.ng are product prices and do not include delivery or shipping charges.

Henrio does not currently offer free shipping as a general service.

Where a customer requests delivery, the applicable delivery or courier charge will be communicated or calculated separately where necessary.

Prices may change from time to time. A price change will not ordinarily affect an order that has already been accepted and paid for, except where there has been an obvious pricing error or where applicable law permits otherwise.

6. Pricing and Website Errors

Henrio makes reasonable efforts to ensure that prices and product information are accurate.

Occasionally, an obvious typographical, technical, pricing, stock, or system error may occur.

Where we identify a material error before an order has been fulfilled, we may contact the customer to explain the error and provide appropriate options, which may include:

proceeding at the correct price with the customer’s agreement;

selecting an alternative product; or

cancelling the affected order and refunding any amount already paid for that item.

Henrio will not knowingly use pricing errors to mislead customers.

7. Placing an Order

An order submitted through Henrio.ng represents a request by the customer to purchase the selected products or services.

Customers are responsible for reviewing:

selected products;

quantities;

specifications;

prices;

billing information;

pickup or delivery arrangements; and

other order information

before submitting the order.

Submitting an order does not necessarily mean that the order has been finally accepted.

8. Order Acceptance

An order may be subject to confirmation of:

payment;

stock availability;

product availability;

customer information;

delivery or pickup arrangements;

applicable specifications; and

any other information reasonably necessary to fulfil the order.

Henrio may contact the customer where clarification is required.

Where Henrio cannot fulfil an order after payment, the customer will be informed and an appropriate refund, alternative product, or other lawful resolution will be offered.

9. Product Availability

Products displayed on Henrio.ng may become unavailable because of sales activity, supplier availability, inventory adjustments, import delays, manufacturing changes, or other circumstances.

Displaying a product on the website does not guarantee that unlimited quantities are available.

Where an ordered product becomes unavailable, Henrio will contact the customer and may offer:

an alternative product;

a later fulfilment date, with the customer’s agreement; or

a refund for the unavailable product.

The customer is not required to accept a substitute product.

10. Payment

Customers must pay using payment methods made available or expressly approved by Henrio.

An order may not be processed or released until the required payment has been confirmed.

Customers are responsible for ensuring that payment information supplied is accurate and that they are authorised to use the relevant payment method.

Henrio may reasonably delay fulfilment while investigating suspected fraudulent, reversed, incomplete, or unauthorised payments.

11. Physical Shop Pickup

Customers may choose to collect eligible purchased items from Henrio’s physical shop.

There is no shipping or delivery charge where the customer collects the order directly from the physical shop.

Customers should wait for confirmation that the order is ready before arriving for collection.

Henrio may request reasonable proof of purchase or identification before releasing an order.

Where another person is collecting on behalf of the customer, Henrio may request reasonable confirmation that the person has been authorised to collect the goods.

12. Customer-Requested Delivery

Henrio does not provide free shipping as a general service.

Where a customer requests delivery:

delivery is arranged separately from the product price unless expressly stated otherwise;

the applicable courier or delivery cost will ordinarily be borne by the customer;

delivery charges may depend on location, size, weight, quantity, product type, logistics provider, and handling requirements; and

the delivery arrangement may need to be confirmed before dispatch.

Customers may alternatively collect their orders from Henrio’s physical shop.

13. Delivery Information

Customers requesting delivery must provide accurate and complete information, including where applicable:

recipient name;

telephone number;

delivery address;

city or state;

landmark or location information; and

any other information reasonably required to complete delivery.

A customer may be responsible for reasonable additional delivery costs arising solely from incorrect or incomplete information supplied by that customer.

This does not apply where a failed or incorrect delivery results from an error attributable to Henrio or where applicable law provides otherwise.

14. Printing Consumables

Printing consumables may include inks, toners, films, papers, transfer materials, cleaning materials, and related supplies.

Customers should confirm relevant:

printer or machine compatibility;

ink type;

model number;

material specification;

size;

colour;

application; and

other technical requirements

before opening or using consumable products.

Opened, used, contaminated, or partially consumed consumables may be subject to return restrictions for ordinary change-of-mind returns.

Such restrictions do not remove any rights available where goods are defective, wrongly supplied, unsafe, materially misdescribed, or otherwise subject to a statutory remedy.

15. Printing Machines and Equipment

Customers purchasing printers, cutters, plotters, laminators, heat presses, printing machines, or related equipment should review the relevant technical specifications before purchase.

Customers are responsible for ensuring appropriate installation conditions, power requirements, operating environment, compatible consumables, and proper use.

Where professional installation is recommended, customers should follow applicable manufacturer or Henrio guidance.

Damage caused by misuse, unauthorised alteration, unsuitable electrical supply, improper installation, neglect, accidental damage after delivery, or unauthorised repairs may not constitute a defect attributable to Henrio.

Nothing in this section excludes applicable manufacturer’s warranties or statutory consumer rights.

16. Customised and Personalised Orders

Custom orders may include printing, branding, engraving, cutting, fabrication, personalisation, signage, clothing, promotional materials, and other products produced according to customer specifications.

Before production begins, the customer is responsible for reviewing and approving relevant information, including:

names;

spellings;

telephone numbers;

dates;

dimensions;

quantities;

artwork;

logos;

colours;

text;

photographs;

positioning; and

other specifications.

Once a customer has approved the final proof or specification and production has commenced, changes may result in additional charges or may no longer be possible.

17. Proof Approval

Where Henrio provides a proof, mock-up, sample, design, or production specification for customer approval, the customer should review it carefully.

Customer approval authorises Henrio to proceed based on the approved version.

Henrio will remain responsible for production errors attributable to Henrio, including where the finished product materially differs from the customer’s final approved specification.

18. Customer-Supplied Artwork and Content

Customers who provide artwork, photographs, logos, trademarks, text, designs, names, or other materials for printing or reproduction confirm that they have the necessary right, permission, authority, or licence to use those materials.

Customers must not knowingly submit material that:

infringes another person’s copyright, trademark, or other intellectual property rights;

is fraudulent or unlawful;

falsely represents another person or organisation; or

is prohibited by applicable law.

Henrio may refuse to produce material where there is a reasonable basis to believe the requested work is unlawful or infringes the rights of another person.

19. Print Colour and Production Variations

Printing processes may produce reasonable variations between:

colours displayed on electronic screens and printed colours;

different materials;

different machines;

different production batches; and

different finishing methods.

Customers requiring precise colour matching should communicate this before production and, where appropriate, request a physical proof, colour specification, or other suitable production reference.

Reasonable production variations do not permit Henrio to disregard an expressly agreed material specification or approved proof.

20. Cancellations

Customers who wish to cancel an order should contact Henrio as soon as possible.

For standard products that have not yet been dispatched or otherwise committed to fulfilment, cancellation may be possible subject to applicable law and any reasonable costs already incurred.

For customised, printed, cut, engraved, fabricated, personalised, or specially ordered products, cancellation may become restricted once production or procurement has commenced.

Where reasonable cancellation charges are applicable, they will reflect reasonable costs associated with work or commitments already undertaken.

Nothing in this section removes cancellation or refund rights that a customer has under applicable Nigerian law.

21. Refunds and Returns

Returns, exchanges, repairs, replacements, and refunds are governed primarily by Henrio’s Refund and Returns Policy.

Customers should review that policy before requesting a return.

Nothing in these Terms is intended to exclude statutory rights relating to defective, unsafe, wrongly supplied, unsuitable, or materially misdescribed goods.

22. Warranties

Certain products may carry a manufacturer’s warranty.

Where a manufacturer’s warranty applies, its duration and conditions may depend on the relevant manufacturer and product.

Manufacturer warranties operate in addition to any consumer rights that cannot lawfully be excluded.

Customers should retain receipts, invoices, serial numbers, warranty cards, and other relevant purchase documentation where applicable.

23. Accounts and Passwords

Where customers create accounts on Henrio.ng, they are responsible for maintaining the confidentiality of their login information.

Customers should notify Henrio promptly if they reasonably believe that their account has been accessed without permission.

Henrio may temporarily restrict access to an account where reasonably necessary to protect the customer, website, or business from suspected fraud or unauthorised use.

24. Website Availability

Henrio aims to keep Henrio.ng accessible and functional.

However, uninterrupted access cannot always be guaranteed because maintenance, upgrades, hosting interruptions, security incidents, technical problems, internet outages, or events outside our reasonable control may occur.

Henrio may temporarily suspend access where reasonably necessary for maintenance, security, repairs, or system improvements.

25. Intellectual Property

Unless otherwise stated, the Henrio name, website content, text, graphics, original photographs, layouts, designs, branding elements, and other original materials on Henrio.ng are owned by, licensed to, or lawfully used by Henrio.

Nothing on the website grants users permission to copy, reproduce, republish, distribute, sell, or commercially exploit Henrio’s protected materials without appropriate permission.

Third-party trademarks, product names, and manufacturer logos remain the property of their respective owners.

26. Reviews and Customer Content

Where Henrio allows customers to submit reviews, comments, photographs, or other content, customers must not submit content that is knowingly:

false or fraudulent;

defamatory;

threatening;

unlawful;

infringing;

malicious;

obscene; or

unrelated spam or advertising.

Henrio may moderate or remove content where reasonably necessary to enforce these requirements or comply with law.

Genuine negative feedback will not be removed merely because it is critical of Henrio.

27. Privacy and Personal Information

Henrio processes personal information in accordance with its Privacy Policy and applicable data-protection requirements.

Customers should review the Privacy Policy to understand how personal information may be collected, used, stored, and otherwise processed.

28. Fraud and Misuse

Henrio reserves the right to investigate orders or transactions reasonably suspected of involving:

payment fraud;

identity fraud;

stolen payment information;

deliberate abuse of the returns process;

false claims;

unauthorised transactions; or

other unlawful activity.

Where appropriate, Henrio may suspend fulfilment while conducting reasonable checks or may report suspected unlawful activity to relevant authorities.

This provision will not be used to deny legitimate consumer complaints or lawful refund rights.

29. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

To the extent permitted by law, Henrio will not be responsible for losses resulting solely from:

customer misuse of a product;

use contrary to clear manufacturer or product instructions;

unauthorised modification or repair;

inaccurate information supplied by the customer;

customer-approved errors in customised artwork or specifications, except where Henrio subsequently departs from the approved version; or

circumstances outside Henrio’s reasonable control.

Nothing in this section limits rights or remedies relating to defective goods, unsafe products, misrepresentation, negligence, or other liability that cannot lawfully be excluded.

30. Events Outside Reasonable Control

Henrio will make reasonable efforts to fulfil accepted orders.

Performance may be delayed by events outside our reasonable control, including severe weather, transportation disruption, supplier interruption, import delays, fire, flood, public emergency, security incidents, government action, widespread network failure, or similar events.

Where such an event materially affects an order, Henrio will make reasonable efforts to communicate with the affected customer and provide an appropriate resolution.

31. Complaints and Customer Support

Henrio wants customer complaints to be handled fairly and efficiently.

Customers who experience a problem with an order, product, payment, delivery, or service should contact Henrio with relevant details, including the order number where available.

We may request photographs, videos, invoices, receipts, serial numbers, or other information reasonably necessary to investigate the matter.

Henrio will make reasonable efforts to assess complaints and communicate an appropriate response or resolution.

32. Changes to These Terms

Henrio may update these Terms & Conditions from time to time to reflect changes in our business, website, products, operational processes, or applicable requirements.

The current version will be published on Henrio.ng with an updated revision date.

Changes will not be applied retrospectively in a manner that unlawfully removes rights already acquired by customers.

33. Severability

If any provision of these Terms is found by a competent authority or court to be invalid or unenforceable, the remaining provisions will continue to operate to the extent permitted by law.

34. No Waiver of Consumer Rights

Nothing in these Terms & Conditions, the website, an invoice, receipt, product description, promotion, or other Henrio communication is intended to waive or remove a consumer right that cannot legally be waived.

Where applicable Nigerian law provides greater protection than these Terms, the applicable law will prevail.

35. Governing Law

These Terms & Conditions are governed by the laws of the Federal Republic of Nigeria.

Any dispute arising from a transaction will remain subject to applicable consumer-protection laws and the jurisdiction or dispute-resolution mechanisms provided under Nigerian law.

Customers may also exercise any right available to seek assistance from the appropriate consumer-protection authority.
